1. Overview

The Claw Machine (the “Claw”) is a digital collectible mechanic operated by Franky's Dinner that allows users to exchange eligible NFTs from The Nibbles collection (0x5E52D41f0e40D7cDb204Db0d09659846F7404547) (“Nibbles”) and Claw Coins for the opportunity to receive a different NFT from a designated prize pool.

The Claw is not a game of chance, lottery, or gambling product. It is a digital asset exchange mechanism designed to allow users to re-roll collectible artwork and associated intellectual property rights within a defined ecosystem.

2. Eligibility

By accessing or using the Claw, you represent and warrant that:

• You are at least eighteen (18) years of age

• You have the legal capacity to enter into these Terms

• Your use complies with all applicable laws and regulations in your jurisdiction

• You are not located in a jurisdiction where digital asset transactions of this nature are restricted or prohibited
  
  

3. Digital Assets and Currency

3.1 Claw Coins

Claw Coins (0x5E52D41f0e40D7cDb204Db0d09659846F7404547) are a ERC 1155 NFT, digital, non-fiat utility within the ecosystem and:

• May be obtained through rewards, ecosystem participation, exchange for Flies, or purchase using ETH

• Have no inherent monetary value outside the platform

• Are non-refundable

• May be modified, discontinued, or restructured at any time

4. Tier System and Rarity

The Claw operates using tiered prize pools based on NFT rarity rankings.

Additional tiers may be introduced, and rarity ranges may be modified at any time at the sole discretion of Franky's Dinner.

Each tier contains a pool of NFTs sourced from:

• The Lonely Lily Studios treasury or vault wallets

• User trade-ins allocated to their respective tier

5. Participation Requirements

To use the Claw, users must:

• Connect a compatible blockchain wallet

• Hold sufficient Claw Coins for the selected tier

• Own at least one eligible Nibble within the required rarity range

Each Claw attempt requires:

• Payment of the specified number of Claw Coins

• Trade-in of exactly 1 (one) eligible Nibble NFT

6. Trade-In and Asset Exchange

By initiating a Claw transaction, you acknowledge and agree that:

• The traded-in Nibble is permanently transferred to the platform

• You relinquish all ownership, rights, and claims to that NFT

• The traded NFT becomes part of the applicable prize pool

• The exchange does not guarantee receipt of an NFT of equal or greater rarity, desirability, or market value

This mechanic is intended as a reconfiguration of digital collectible holdings, not a value-preserving or value-generating transaction.

7. Transaction Flow

The Claw process includes:

1. Wallet connection

2. Tier selection (subject to eligibility)

3. Selection of an eligible Nibble for trade-in

4. User confirmation of the transaction

5. Blockchain transaction approval

6. Randomized NFT allocation via verifiable randomness

All transactions are final and irreversible once confirmed on-chain.

8. Randomization and Allocation

NFT distribution is determined using verifiable randomness provided by Chainlink VRF (Verifiable Random Function).

• Outcomes are algorithmically randomized

• Drop rates are preconfigured per NFT and may reflect rarity, demand, or other factors

• Certain NFTs may have reduced distribution probability despite lower trait rarity due to ecosystem considerations

By participating, you acknowledge that:

• Outcomes are unpredictable

• You are not selecting a specific NFT

• Allocation is based solely on the defined system logic

9. Prize Pools

• Prize pools consist of NFTs assigned to each tier

• Pools may be updated, refreshed, or rebalanced at any time

• No guarantees are made regarding timing, frequency, or composition of updates

• NFTs may be added or removed without prior notice

10. Usage Limits

• There are no limits on the number of Claw attempts per user

• Participation is subject to system availability and eligibility requirements

11. Prohibited Conduct

Users may not:

• Exploit bugs, vulnerabilities, or unintended mechanics

• Use bots, automation, or manipulation tools

• Interfere with smart contracts or transaction flows

• Attempt to gain unfair advantage

Franky's Dinner reserves the right to determine, in its sole discretion, what constitutes prohibited behavior.

Violations may result in:

• Wallet blacklisting

• Suspension or permanent restriction from current and future features

• Forfeiture of assets involved in the violation

12. Digital Collectible Disclaimer

The Claw is designed as a digital collectible reallocation system.

• It is not gambling, wagering, or a financial instrument

• Users are exchanging digital collectibles, not staking value for profit

• NFTs may carry subjective, aesthetic, or IP-based value, not guaranteed financial value

13. Risk Disclosure

By using the Claw, you acknowledge:

• NFT values are highly volatile and subjective

• You may receive assets perceived as lower value than those exchanged

• Blockchain transactions are irreversible

• Smart contract interactions carry technical risks

14. Technical Risks and Third-Party Services

The platform relies on third-party infrastructure, including blockchain networks and services such as Chainlink.

Franky's Dinner is not responsible for:

• Network congestion or failures

• Delayed or failed transactions

• Wallet provider issues

• Oracle or randomness service interruptions

15. Intellectual Property

Ownership of a Nibble NFT grants the holder rights as defined in The Nibbles IP terms.

Upon trade-in:

• All associated rights transfer with the NFT

• Newly received NFTs confer rights to the recipient per the applicable license

16. Modifications and Termination

Franky's Dinner reserves the right to:

• Modify or discontinue the Claw at any time

• Change tier structures, costs, or mechanics

• Update these Terms without prior notice

Continued use constitutes acceptance of any modifications.

17. Limitation of Liability

To the fullest extent permitted by law, Franky's Dinner shall not be liable for:

• Any loss of digital assets

• Indirect, incidental, or consequential damages

• Loss of profits, revenue, or perceived value

18. Governing Law

These Terms shall be governed by the laws of Wyoming, without regard to conflict of law principles.
